Fixed-fee service

Business Legal Health Check

Find the legal gaps most likely to hinder your next customer deal or stage of growth.

£1,500 Excluding VAT where applicable. Final scope confirmed in writing.

When this helps

You know the business is growing. You are less sure which legal gaps could hold it back.

The results you’ll get

A short, prioritised list of the legal issues we identify: including gaps you may not yet have recognised. Each issue comes with a plain-English explanation, why it ranks where it does and a recommended next step. We discuss the findings with management so you understand what needs attention now, what can wait and where deeper advice is needed.

Included in the base scope

What we will do

  • Discuss your business, growth plans and concerns in one leadership interview
  • Review up to six agreed core documents at a high level for one UK company, alongside the context you provide
  • Identify apparent gaps, inconsistencies and questions that need further investigation
  • Prepare a concise written priorities report explaining each identified issue, the reasons for its priority and recommended next steps
  • Discuss the findings with management in one follow-up call, helping you understand the issues and decide what to tackle first
THE BOUNDARY

What is not included by default

This is a focused review to identify and prioritise issues in the agreed material, not a detailed contract mark-up, comprehensive compliance audit or assurance that every legal risk has been found. Drafting, remedial work, filings, technical security testing and formal specialist opinions are not included by default. We identify where deeper work is needed and would be happy to discuss addressing those issues separately if they are a priority for you.

If your matter needs a wider scope, we explain the option and fee before any extra work begins.

Questions our customers ask

What does a Business Legal Health Check cover?

We look at how the agreed documents and your business context fit together: customer and supplier commitments; board and shareholder approvals; decision-making rules in your articles or shareholders’ agreement; the company’s rights to software, designs and other intellectual property created by founders, employees or contractors; and relevant data-handling arrangements. For example, do key decisions have the right approvals, and do your contracts support the rights and responsibilities the business assumes it has? We agree the focus and document pack around your business model and next important milestone. Corporate governance is part of the picture, not an afterthought.

What documents should we share for the review?

Examples include your main customer MSA or terms and conditions; an important supplier agreement; employee or contractor terms covering confidentiality and intellectual property; articles or a shareholders’ agreement; recent board approvals; and a privacy notice or DPA. These are examples to choose from, not a requirement to provide every item. The current base scope is up to six agreed core documents for one UK company; length, schedules and complexity are considered when we confirm the pack.

What if we have missing documents or do not know where to start?

That is a useful reason to have the review. Tell us what you have and what you are unsure about; we help select the most useful material and record apparent missing items. We do not require a perfect document library before starting. Reconstructing historic records or creating missing documents is a separate next step, not part of the Health Check itself.

How are you planning to find legal issues we have not already spotted?

We combine a discussion of how your business actually works with a review of the agreed documents, then look for gaps between the two. That can reveal customer promises your supplier terms do not support, unclear rights to contractor-created software, missing board or shareholder approvals, or data commitments your processes do not yet address. We explain the issues we identify and flag where further facts or deeper review would help. A fresh pair of legal eyes. Preferably ours, rather than your next investor’s.

How do you decide which legal issues to prioritise?

We consider the potential impact on your business, the urgency, your next customer or investor milestone and whether one issue needs resolving before another. The report explains the priority order rather than simply giving you a list of warnings. We then discuss the practical choices with management, including what needs action now and what can reasonably wait.

Is this a full legal or regulatory compliance audit?

No. It is a focused, high-level review of an agreed document pack and the context you provide. It can flag contractual, governance, IP, data-protection and regulatory questions for further attention, but it does not certify compliance or provide a detailed opinion on every area. If you need a specific regulatory assessment, deep document review or technical security audit, please get in touch to discuss a separate scope.

Will you fix the problems you find?

The Health Check includes the findings, priorities and next-step discussion, but not the drafting or remediation, which can involve substantial additional work. We would be happy to help address the issues that are a priority for you, either through a separately agreed fixed-fee project or within an outsourced legal-function plan. We discuss the work and any Token allocation before it begins. If specialist input is needed, we make that clear.

Can I get this for free if you also handle the remediation?

Yes, if you move into an outsourced legal-function plan within 30 days of completing the Health Check: we credit the £1,500 fee you paid against month one. That means no separate net cost for the Health Check alongside the plan, while its findings help us prioritise the remedial work. The plan fee and the agreed capacity for that work still apply; the credit does not make remediation unlimited or free. A standalone remediation project does not currently qualify for this credit. You do not have to buy a separate Health Check before joining a plan: we can agree how the initial review fits into onboarding and your first quarter’s Token allowance.

Will this prepare us for investor due diligence?

It can identify early gaps and help you decide what to address before fundraising, but it is not a complete investment-readiness exercise. If a fundraise is approaching, our Fundraise Preparation service provides a more targeted legal review across ownership, governance, people, IP, contracts and other relevant business records, with an organised legal data room and an allowance for routine fixes selected after the review. It can support angel, seed and Series A preparation. We help you choose the right starting point rather than asking you to buy both by default.

We only need one contract checked. Is this the right service?

If your main decision is whether to sign or how to negotiate a particular agreement, our Key Commercial Contract Review is a better starting point: it provides a focused risk summary, redline and one round of written negotiation. Other fixed-fee options include a Company Governance Review, Fundraise Preparation, a Commercial Contracting Toolkit and a Regulatory Risk Review. The Health Check is for a broader view of your legal gaps and priorities. For anything else, or if you are unsure which service suits you, get in touch and we will discuss what you need.
