Key Commercial Contract Review
Know what you are signing, where the risks sit and whether your key commercial requirements are protected in an important customer, supplier or strategic-partner contract.
When this helps
A key agreement has arrived and the business needs a decision, not a twenty-page list of every possible issue.
The results you’ll get
A clear recommendation on material risks, a focused redline and one round of written negotiation to help you move towards terms your business can accept.
Included in the base scope
What we will do
- Review one English-law counterparty draft and its agreed schedules, up to 40 pages in total, including a DPA where part of the agreed document pack
- Draft a concise risk and decision summary, prioritising the points that matter to your business
- Create a focused redline with proposed changes
- Discuss the findings and your negotiating position in one 45-minute decision call with your team
- Review one consolidated round of written counterparty feedback and prepare a written negotiating response or updated redline
What is not included by default
The initial counterparty draft and one round of written negotiation are included. Calls with the counterparty, further negotiation rounds and additional agreements are not included by default. If the deal’s scope or structure changes substantially—for example, to cover a different service or delivery model—we discuss and agree any additional review before proceeding. Security deep dives, regulated-product analysis, tax and foreign-law advice are separately scoped.
If your matter needs a wider scope, we explain the option and fee before any extra work begins.
Questions our customers ask
Can you negotiate with the other side?
Yes. The service includes one round of written negotiation: we review one consolidated set of counterparty comments and prepare a written response or updated redline. If we need to join a call with the other side, or further rounds are needed, we discuss and agree the additional scope and fee with you before proceeding.
What if the document is longer than 40 pages?
We will review the document pack first and confirm a revised fixed fee before starting. The 40-page limit includes the agreement and agreed schedules; length, complexity and the supporting documents all inform the quote.
My contract is much shorter than 40 pages. Can you offer a lower fee?
Please get in touch. We will look at the document and the support you need, then confirm a reduced fixed fee where appropriate. A short agreement can still raise significant issues, so the quote reflects the work needed rather than page count alone.
What should I look out for in an MSA or key commercial contract?
Start with what you must deliver, how and when you get paid, and what happens if either side fails to perform. We also examine liability caps and exceptions, indemnities, intellectual property, confidentiality, data use, service levels, termination and renewal. Our recommendation connects these terms to your delivery model, commercial priorities and the risks your business can realistically accept.
Is data protection relevant to every commercial agreement?
Not every agreement needs a separate data processing agreement (DPA), but personal-data use should be checked. Where one party processes personal data on behalf of another, the UK GDPR requires appropriate controller-processor contract terms; these can sit in the main agreement or a DPA. We assess the roles and relevant contractual terms as part of the agreed review, including a DPA in the agreed document pack where needed. We explain how those commitments affect your company’s responsibilities and what your team needs to be able to deliver. A review of privacy compliance across the business, beyond this agreement, or a technical assessment of your security systems will need to be discussed and scoped separately.
AI has already marked up the contract. Can you review that instead?
Yes, let’s discuss what you need checked. We can review the original contract alongside the AI mark-up, test its proposed changes and identify what is worth pursuing. AI can flag points that are inaccurate, irrelevant or disproportionate to the deal; negotiating every flag can slow things down. We focus on material risks and workable wording, and confirm the appropriate fee before starting.
We are in the final stages of negotiation. Can you help us get the contract signed?
Yes. Get in touch by email first. We will then ask you to share the latest draft and a summary of the issues still open through an agreed secure route. We will scope a focused review, advise on the strengths and weaknesses of your position and support the negotiations you need. Where there is a workable deal to be made, we help bridge the remaining gaps and move it towards signature—without losing sight of the terms your business can accept. Agreement ultimately depends on both parties, so we cannot guarantee the outcome.
Can I negotiate standard T&Cs if the vendor says they are non-negotiable?
Sometimes. Standard terms are a starting position, but whether the vendor will change them depends on the deal, its policies and your commercial leverage. We identify the points worth challenging and practical alternatives, such as changes in an order form or a focused amendment. If the vendor will not move, we explain the risks, possible safeguards and whether accepting the terms makes sense for your business. One round of written negotiation is included; we cannot promise that the vendor will change its position.
What documents and background do you need to review our contract?
We need the latest draft, agreed schedules and incorporated terms, plus the commercial background: your company’s role and aims, what each party will deliver, the value and importance of the deal, where negotiations stand, your deadline and the points you cannot compromise on. For an MSA, the pack may include an order form, statement of work, service levels and a DPA. We confirm the documents and fee before starting. Please do not send confidential documents until we have agreed a secure way to receive them.
How quickly can you review an urgent contract?
Tell us your deadline and any signing or procurement milestones. We will confirm a realistic timetable after seeing the document pack; overnight or weekend support may be available, subject to capacity and an agreed scope and fee. Speed matters, but a deadline should not force you into a deal you do not understand. Sometimes no deal is better than a bad deal. We help you assess pressure from the customer or vendor, identify what genuinely needs resolving and choose tactics to seek more time without unnecessarily jeopardising the deal. You approve any additional charge before work starts.
