Fintech & Digital Assets Regulatory Risk Review

Understand how your product sits within the UK regulatory framework, the key risks and boundaries, and what needs resolving before your next business decision.

From £2,000 Excluding VAT where applicable. Final scope confirmed in writing.

When this helps

You have a product or partnership in mind. You need to understand the regulatory position before committing to the next step.

The results you’ll get

A practical regulatory risk memo explaining the key issues and boundaries, the facts behind our analysis and what they mean for your proposed decision. We prioritise the next steps and discuss the findings with you. Clearer direction on what to address and how to move forward, with fewer decisions resting on untested assumptions.

Included in the base scope

What we will do

  • Review one product or business model against the relevant parts of the UK regulatory framework, with review priorities agreed before starting
  • Discuss how the product works and review the agreed business-model and product materials
  • Prepare an issue-by-issue memo identifying potential regulatory triggers, red flags and boundaries, with the relevant facts, assumptions and information gaps
  • Explain practical implications and prioritised next steps, identifying any areas that need deeper analysis or additional expertise
  • Discuss the findings and their implications for your next decision in one follow-up call
THE BOUNDARY

What is not included by default

This is a practical regulatory red-flag and boundary review of one product or business model, not an exhaustive regulatory assessment, regulator approval or comprehensive clearance for a launch. We agree the relevant areas to review before starting. In-depth regulatory analysis, authorisation applications, regulator engagement, implementation and further products or jurisdictions are not included by default. We can agree a separate scope for more detailed advice and bring in additional expertise where the subject or jurisdiction requires it.

If your matter needs a wider scope, we explain the option and fee before any extra work begins.

Questions our customers ask

What kinds of regulatory questions can this review help with?

Examples include whether a proposed activity raises an FCA authorisation or registration question, how a payment flow affects your role, or whether digital-asset functionality or proposed communications raise regulatory issues. We review one product or business model against the relevant UK framework and agree the areas to cover before starting. We identify the main red flags, boundaries and next steps, rather than examine every rule that could affect the company.

We only supply technology to financial firms. Could regulation still be relevant?

Potentially. We look at what your company actually does, who provides the service, what rights and responsibilities it takes on, and whether it handles assets, payments or decisions. Calling the product “software” does not answer those questions. The review helps distinguish your activities from your customer’s and identify where the proposed arrangement needs deeper analysis.

What information do you need from us?

Useful material may include a product description or demo, user journeys, transaction and money-flow diagrams, proposed customer and partner terms, target users and markets, marketing materials and any existing advice. We also need to understand which entity does what. We select the relevant material around your proposed model and review priorities, and discuss unclear facts before treating them as assumptions.

Will this tell us whether we need FCA authorisation or registration?

If authorisation or registration is a priority for the review, we identify the relevant activities, potential triggers and possible exclusions, and explain what the available information supports. Where an issue needs a detailed perimeter analysis or formal opinion, we set out the further work required and can agree a separate scope. The review is legal analysis, not permission from the regulator; FCA guidance explains the separate authorisation or registration process.

Is the output like a contract redline?

We identify the key issue, explain why it matters and recommend what to do. We highlight regulatory red flags and where a proposed activity may cross a regulatory boundary, then connect those findings to your business decision. We give you an annotated risk memo and discuss it with you, rather than mark up a contract or undertake an exhaustive regulatory assessment. If you need a contract reviewed too, see the Key Commercial Contract Review.

Can you help before a token launch or a cross-border rollout?

We can review the proposed model against the relevant UK regulatory framework, but this package is not a complete token-launch or international legal service. Entity structuring, foreign-law advice, offering documents and launch execution may need separate work and local counsel. Get in touch about the proposed model and markets so we can identify the UK review priorities and how any additional legal work would be handled.

What if our product changes or new regulatory developments arise after the review?

The memo reflects the facts and regulatory position assessed at the time, including relevant developments within the review priorities. Changes to the product, customer base, money flows or rules may call for an update. Ongoing monitoring and later reassessment are not included by default. Get in touch and we can discuss an update or continuing support.

What if you find an issue that needs more detailed advice?

We explain the issue, why it matters and what further facts or analysis would help resolve it. We can take that work forward under a separate scope, bringing in additional expertise where the subject or jurisdiction requires it. You can then decide which next step is a priority, with a clear distinction between what the review establishes and what needs further investigation.

We need an answer quickly. Can you help before a launch or partner deadline?

Tell us the decision, deadline and materials available. We will confirm a realistic timetable; faster or overnight work may be available, subject to capacity and an agreed scope and fee. Where a key issue is unresolved, a narrower launch or a short pause may be more useful than a rushed answer. We help you distinguish what can be decided now from what needs further work.

What determines the fee, and can this lead into continuing support?

We will review the proposed model, priorities and materials, then confirm the fixed fee before starting. The £2,000 starting point covers one defined product or business model and the relevant areas agreed for the review. Broader models or in-depth analysis may need a different scope. If recurring work follows, we can discuss an outsourced legal-function plan. Start a plan within 30 days of completion and the project fee you paid, up to £2,500, is credited against month one, not against a standalone follow-up project.

Get a fixed scope before work starts.

Tell us the decision you need to make, the background and the documentation available. We will confirm the approach, timetable and fee.
