Commercial Contracting Toolkit

Build a repeatable way to contract: documents tailored to your business, negotiating positions your team can use and clear rules for decisions that need approval.

£5,500 Excluding VAT where applicable. Final scope confirmed in writing.

When this helps

Your team keeps negotiating the same points, but every new deal still feels like starting from scratch.

The results you’ll get

Not just a contract for one deal, but a toolkit for the next ones. Matching documents, usable fallback positions and clear approval rules give your team a consistent way to negotiate. We refine it with your feedback, show your team how to use it and help address one round of counterparty feedback on a live deal, so each negotiation starts from an agreed position.

Included in the base scope

What we will do

  • Understand how you sell or buy, the commitments your business can deliver and the terms that repeatedly hold up negotiations, then agree your key risk positions
  • Draft or adapt one principal English-law agreement for one business line, such as customer terms, an MSA or a supplier agreement, with wording tailored to your delivery model and commercial priorities
  • Prepare up to three supporting forms, such as an order form, statement of work, NDA or DPA, and make sure they work with the principal agreement; we agree the document pack before starting
  • Build a business-specific negotiation playbook with preferred positions, usable fallback wording and escalation points for key terms such as liability, IP, payment, termination and data protection
  • Create practical approval and signing rules so your team knows which changes it can accept, who approves exceptions and who can sign
  • Refine the toolkit through two consolidated client review rounds
  • Support one round of written negotiation on one live deal using the toolkit: review one consolidated set of feedback from one counterparty, advise on your response and prepare a revised draft or written response
  • Walk your team through the documents and playbook in one training session
THE BOUNDARY

What is not included by default

The toolkit covers one principal agreement and up to three supporting forms for one business line, plus one round of written negotiation with one counterparty on a live deal using the toolkit. Data-processing terms can be included in the principal agreement or a DPA selected as one of the supporting forms. Further negotiation rounds, negotiation calls or a review of a counterparty’s own agreement can be discussed separately. Foreign-law advice, technical security assessments and terms for a regulated product are not included by default. A wider review of privacy compliance across the business, other specialist advice or additional documents can be discussed separately, as can further business lines and client review rounds.

If your matter needs a wider scope, we explain the option and fee before any extra work begins.

Questions our customers ask

What does the £5,500 toolkit give us beyond a contract template?

You are buying a repeatable contracting process, not just wording for one agreement. We work through your delivery model and risk choices, build a matching document pack, turn those choices into negotiating guidance and approval rules, and train your team to use it. Two client review rounds help refine the outputs, and one written negotiation round on a live deal using the toolkit helps you address counterparty feedback. The value carries into future deals: fewer repeated legal questions, more consistent positions and less founder involvement in routine changes. If you only need a single document, we can quote a smaller task instead.

Which contracts and supporting forms can you build?

The base package covers one principal English-law agreement for one business line and up to three supporting forms. For a software business, that might be an MSA with an order form, DPA and NDA. A service business might need customer terms, a statement of work, change-request form and an NDA. We choose the combination around how you sell or buy and check that the documents fit together.

Can the toolkit include a DPA?

Yes. Data-processing terms are part of the commercial legal work we can handle, not automatically a specialist add-on. We can build them into the principal agreement or prepare a DPA as one of the three supporting forms. We look at your company’s role, the data flows and the commitments made to customers or required from suppliers. A wider privacy-compliance programme or technical security assessment would need to be discussed and scoped separately.

What will the negotiation playbook tell our sales or procurement team?

It turns your business’s risk choices into practical instructions, rather than a generic summary of contract clauses. For each key point, the team gets the preferred position, the reason behind it, fallback wording it can offer and the point at which approval is needed. For example: what liability cap can we accept, which IP rights must we retain, and who approves a customer’s extended payment terms? We agree those choices with you, so the team can handle repeat points without asking management the same questions on every deal.

Can you improve our existing templates instead of replacing everything?

Yes. Share what your team currently uses and the points that repeatedly cause delay. We can adapt useful documents rather than discard them, while checking that the agreement, order forms and schedules work together. The document allowance stays the same; we confirm the agreed pack and any existing-material review before starting.

We already have AI-generated templates. What would you add?

We can use them as a starting point and test whether they fit your delivery model, legal responsibilities and commercial aims. The value is deciding which protections matter, correcting inconsistencies and giving the team usable negotiating positions and approval rules. Legal AI can generate wording quickly; it does not know which promises your business is ready to make.

Does the fee include negotiation with customers or suppliers?

Yes. It includes one round of written negotiation with one counterparty on one live deal using the toolkit. We review their consolidated feedback, advise on what to accept or push back on and prepare a revised draft or written response. Useful positions from that round inform the playbook. Further rounds, negotiation calls or a customer’s own agreement can be discussed separately. For a deal on third-party paper, our Key Commercial Contract Review may be a better starting point.

How do the review rounds and team walkthrough work?

Your team provides one consolidated set of feedback in each of two client review rounds, and we refine the agreed documents and positions. The included counterparty negotiation round is separate from those two rounds. The walkthrough explains how to use the toolkit and when to escalate a request. Choose the people who issue contracts, negotiate terms or approve exceptions, so the toolkit becomes part of the working process rather than another folder nobody opens.

Can you tailor the package to the number of templates or products we need?

Yes. If you only need one template, we can quote a smaller fixed-fee task. If you have several products, we first check whether one main agreement and different order forms can serve them, or whether they need separate contracting models. Tell us what you sell, who uses the documents and where negotiations get stuck. We will recommend a proportionate document pack and confirm the fee before starting.

Can you keep the templates and playbook up to date afterwards?

Yes, through an outsourced legal-function plan with maintenance and substantive updates agreed around your needs. Decisions from live matters can then inform the next version. Start a plan within 30 days of completing the toolkit and we credit the project fee you paid, up to £2,500, against month one.
